I am one of three members of a Board of Directors. The Bylaws provide that each member serves a three-year term which are staggered. Elections for open positions are held during regular or special meetings - no specific date is set in the Bylaws. One of the former members served his three-year term but due to COVID he was allowed to serve another approximately 9 months until his successor was elected to office. An argument has now arisen as to whether the newly elected member's term began when the former officer should have been replaced or does it begin when he was actually elected.

It would begin at the point when the previous directors term should have ended, so that the staggering terms of office are preserved.
