I have no idea. The idea that a board nominates its own successors must come from your own rules, since it is not a standard way of doing things. So your rules will need to provide for a threshold as well.

Agreeing with @Joshua Katz, I will just add that the general rule for any decision of a body is that it requires a majority of the votes cast by people eligible to vote and expressing a preference, more familiarly: a majority vote.

Well, certainly not 50%, as that is less than a majority.  But, like Mr. Katz, I wonder why the board is choosing its own successors.

More facts are definitely needed, but based solely upon what has been posted it seems to me that the board is acting as some sort of nominating committee.
