Guest SANDRA PETERS Posted June 28, 2023 at 09:21 PM Report Share Posted June 28, 2023 at 09:21 PM BOARD WAS PRESENT WITH ONLY THE PRESIDENT FOR A AMENDMENT TO CURRENT CONSITUTION, HOWEVER THERE WERE NO AGENDA READ, NO MINUTES READ, NO MOTIONS OF ANY SORT MADE? CURRENT CONSITUTION STATES ROBERTS RULE OF ORDER WILL BE PARLIAMENTARY AUTHORITY FOR THE ORGANIZATION ON ALL QUESTIONS NOT COVERED BYTHIS CONSITUTION AND SUCH STANDING RULES AS THE EXECUTIVE COMMITTE MAY ADOPT. THERE WERE 19 PEOPLE PRESENT, 13 YES 6 NO, WHEN VOTES WERE COUNTED IN A SEPEARATE ROOM THE PRESEIDENT AND A MEMBER WERE PRESENT FOR THAT EVERYTHING IS NOT VALID DUE TO PROCEDURE NOT BEING DONE? Joshua Katz Posted June 28, 2023 at 09:26 PM Report Share Posted June 28, 2023 at 09:26 PM What does your constitution say about its amendment? Is the board allowed to amend it in the first place? With what vote threshold? In any case, the following: On 6/28/2023 at 4:21 PM, Guest SANDRA PETERS said: HOWEVER THERE WERE NO AGENDA READ, NO MINUTES READ, NO MOTIONS OF ANY SORT MADE? will not, after the fact, invalidate decisions made at the meeting (presuming you can figure out what decision was made when there was a vote but, apparently, no motion). Rob Elsman Posted July 2, 2023 at 12:56 PM Report Share Posted July 2, 2023 at 12:56 PM How could the board be present with only the president? What is the quorum requirement for transacting business validly?

Allowing the executive Committee to set ( adopt) the standing rules of the organisation is not a good idea. (this text even makes it an exclusive right of the executive Committee) Hope the bylaws amendment was (also) about removing that idea.
