Jay M Posted May 24, 2024 at 08:29 PM Report Share Posted May 24, 2024 at 08:29 PM In our constitution we have a clause stating : A Semi‐Annual HTGC General Body Meeting shall be held on the fourth Sunday of April each year at the principal office of the corporation in Lemont, Illinois. At this meeting, the agenda shall focus on any necessary business including updates on Capital Projects, Constitution/Bylaw amendments, and any unfinished business from the previous Annual General Body Meeting. All new and revised capital project plans shall be approved at this Semi‐ Annual General Body meeting. All new capital projects with a projected total completion cost (not just projected costs of a given phase of the project) of $250,000 and above shall be approved by the General Body. The capital project(s) shall not be sub‐grouped into compartments of less than $250,000/‐ merely to circumvent the approval of the General Body. All Capital Projects with projected total completion costs of less than $250,000/‐ shall be included in the annual budget. Now there is a need of repairing a structure which is leaking and it is costing more than $250,000. My question is does repairing a structure fall under capital project or not? Usually, a major repair to a structure would indeed be a "capital project." But your society will need to interpret its constitution.
