Our board has 5 members and conducted a recent email vote that received 3 yes votes, 1 no vote and 1 abstention. Does this vote meet the 2/3rds requirement mentioned in the Stature? The vote threshold as described in the statute for action without a meeting is two-thirds of the entire membership of the board. I agree with my colleagues that if two thirds of all board members must approve, then four votes are required. I say "if" because your statement appears to be a paraphrase of the statutes, rather than a verbatim quote, and that sometimes is a source of confusion.
