Can this be done?Is "the director" a member of the Board of Directors?If so, he's free to "renew" the defeated motion.If not, he has no right to do anything at a meeting of the board.Further, your board can't vote "against the changes made". Chris Harrison Posted May 31, 2010 at 08:54 PM Report Share Posted May 31, 2010 at 08:54 PM The Executive Director is an ex-officio,non-voting member of the Board.That throws a small monkey wrench in the process since as far as RONR is concerned you are either a member will full membership rights or you are a nonmember (with the exception of honorary members). It will be up to you all to determine what rights a nonvoting ex officio Board member retains since the right to vote has been removed. See RONR pp. 570-573 for some principles to help with that.but the Director wants another vote on the defeated ammendments on the basis of the "Board did not understand"And if the Board thinks they understood just fine it doesn't matter what the Executive Director wants.
