Guest PatDini Posted June 15, 2010 at 09:56 PM Report Share Posted June 15, 2010 at 09:56 PM An exeuctive board member term expires and does not elect to run again and no one else is nominated. Does that individual that does not choose to run remain a member of the executive board, or is the position vacant until some is elected?
Chris Harrison Posted June 15, 2010 at 09:59 PM Report Share Posted June 15, 2010 at 09:59 PM Depends on the EXACT language in the bylaws defining the Board member's term of office.

It might say something like, "holds office for a year or until his successor is elected". Or it might say, "holds office for a year".In any case, you can elect someone who isn't nominated. A vote of 1-0 will do it.
