Temporary replacement of treasurer

The Treasurer is ill and we want to put in a temporary treasurer to perform the duties until the Treasurer returns. Our bylaws are silent on this and only addresses the permanent replacement of an officer or director.

Then you can't do it. There's no such thing as a "temporary treasurer" unless provided for in the Bylaws.

Bobbi, I gather your treasurer has duties that normally could not be carried out by someone else.

Mr. Martin - Possibly the bylaws detail the officer's duties, and include such phrasing as "and any other duties as dictated by the Board" (as I've seen in other bylaws) or something like that? Barring legal ramifications with the bank for someone other than the treasurer to sign checks, could this perhaps cover Bobbi's organization and allow the P or VP to "take over" short of replacing the treasurer?

As was noted there is no way to have a "temporary Treasurer" unless the bylaws provide for it. However two ideas come to mind:

1) Check the bylaws to see if it is possible for the Treasurer's duties to be delegated to another person. If that is possible someone (or someones) can take over the duties until he returns.

2) [This probably would not be a desirable option unless the duties cannot be delegated.] Talk to the Treasurer to see if he would be willing to resign the office. That would allow you all to fill the vacancy and elect someone to complete the rest of the term. If cannot or will not resign you might need to remove him from office and elect someone to fill the vacancy.

Note: With this option you can intend for the person who has filled the vacancy to resign when the former Treasurer is ready to come back (and re-elect the former Treasurer) but you all will not be able to make him resign if he doesn't want to.

While the Bylaws quite possibly include such a phrase, this would not allow the board to delegate any authority the Bylaws specifically assign to the Treasurer to another officer. The effect of such a phrase is to allow for additional duties to be delegated, not to transfer authority specified in the Bylaws from one officer to another.
