Paul Speece Posted June 23, 2010 at 11:34 PM Report Share Posted June 23, 2010 at 11:34 PM if our organization allows, by vote, that a particular member of the board can be on a leave of absence for six months due to personal or business matters, when our normal policy is automatic termination at the end of the third consecutive monthly meeting, is the person whose non-presence is santioned considered in the demominator of the number of voting members needed in determining if a quorum is present?thanks for your consideration!! If there is no suspension provision in the bylaws the motion to waive the rule regarding termination after three missed meetings is null and void because it violated the bylaws(RONR p. 244a).
