Texas cityslicker Posted July 1, 2010 at 05:04 PM Report Share Posted July 1, 2010 at 05:04 PM Lacking enough board members to constitute a quorum, a board meeting was recently held anyway and previous months minutes approved as well as approval of other items. All was done upon the recommendation of a board member who said there was a way to record minutes as official even though not a quorum present. I've never heard of such, would someone clarify. The board member was wrong, at least as far as RONR is concerned. Ask him to show you the rule that supports his claim.

It's just that, without a quorum, it couldn't do what it pretended to do (e.g. approve minutes). And note that, since it was a legitimate meeting, minutes (albeit brief) should be prepared and approved for the inquorate meeting as well.
