Board shuffle

Very shortly after our recent election one Board member- the VP- resigned to care for her parents. The Secretary asked if she could move into the vacant VP spot. A Director that was just elected said she would be willing to be Secretary. We then appointed a club member to take her Director seat. Now- a week later the newly elected director who - became the newly appointed secretary - has resigned from the Board and the club.

Our bylaws do give the BOD authority to appoint to fill vacancies. Are there any guidleines we should know- such as should the secretary ,now VP, go back to Sec. as she was elected to that position; or should we just start over leaving the VP as it stands now?

As long as the board is authorized to do so, it can fill the vacancy with any qualified candidate. And note that, although your bylaws might, nothing in RONR prevents one person from holding more than one office. So the secretary and vice-president could be the same person.

Yes, only one vote no matter haw many hats they wear.

But note that if the president leaves office prematurely, the vice-president will become the president and then the president and the secretary will be the same person. This is not necessarily a deal-breaker but should be considered.

I think, in small organization, it's more common for the same person to be both secretary and treasurer.
