Guest Rose Harris Posted July 21, 2010 at 01:15 AM Report Share Posted July 21, 2010 at 01:15 AM If 2 board members call a special meeting to take place on a specific date and time, can the President change the date and time without the approval of the orig. 2? Meeting is required in order to censure a board member who gave false information to the board for the purpose of purchasing association property. It is up to your organization to interpret its own Bylaws. See RONR, 10th ed., pgs. 570-573 for some Principles of Interpretation.
David A Foulkes Posted July 21, 2010 at 11:01 AM Report Share Posted July 21, 2010 at 11:01 AM In general (unless something in the bylaws perhaps allows it) meeting dates/times can't be changed or canceled. Special Meetings are no different in that respect, but also are only allowed if noted in the bylaws, and those should include such information as to who can call them, as yours do. If there's nothing in there about the President being empowered to change scheduled meeting dates/times, then it can't be done, and the meeting as scheduled by the 2 members goes on. RONR has some details on special meetings on pages 89-90. Beyond that, you've got to figure out your own bylaws, as noted here earlier.
Kim Goldsworthy Posted July 21, 2010 at 02:56 PM Report Share Posted July 21, 2010 at 02:56 PM Regarding the request for information on calling a Special Meeting: The Assoc. by-laws state a special meeting can be called by 2 board members or by the Pres.Okay. There you go.• Special meetings CAN be called.• The caller of special meetings CAN be(a.) two members of the board; or(b.) the president.• Each caller need not respect the time or place of the other caller. They need not agree to the need of a special meeting. They need not agree on the agenda for the special meeting. There is nothing wrong with both parties calling their own special meetings with their own unique agendas.• Barring any extra rule, Caller #A cannot alter Caller #B's date/time/location, and vice-versa.
