In this situation, a board may act for the membership between meetings. Is is custom, but not in the by-laws, that the President may poll the board between meetings to decide an issue which will not wait for a meeting. All board actions are subject to membership approval.

The question is, should the President poll the board on an issue which has already been presented to the board, even though the board chose to take no action on the issue? Did the board act by taking no action when it had an opportunity to do so? And if it did, wouldn't it be improper to poll the board on the same issue?

While I find nothing improper about the president poling the board regarding any issue - including one the board had previously rejected - the polling is of no consequence since it is action outside a meeting. If the president is using the "poll" to take action without clear authority to do so in your bylaws, that is HIGHLY improper and all such action is null and void until it has been ratified by the board at a properly convened meeting.

The provision you claim that all board actions are subject to membership approval is rather unworkable. How do you "un-spend" money or "un-repair" property? Either the board can or cannot act for the membership between meetings.
