Tim Wynn Posted July 22, 2010 at 10:01 PM Report Share Posted July 22, 2010 at 10:01 PM Should the Board President discuss Board business/action with each Board member individually by email and in his homeoutside of a regularly scheduled Board meetingThere's no rule against it. Action in the name of the board can't be taken in this way, and board business can't be transacted this way, but discussion violates no rule. So long as the decisions are made inside a proper board meeting, everything is fine.
Kim Goldsworthy Posted July 22, 2010 at 10:03 PM Report Share Posted July 22, 2010 at 10:03 PM Should the Board President discuss Board business/action with each Board member individually by email and in his home outside of a regularly scheduled Board meeting?Yes.• No rule stops a president from doing so.• Talking outside of a meeting will help formulate solutions faster and better, than "winging it, by the seat of your pants" during the time pressure of a meeting.• Getting feedback as to what the hot issues are will help the president draft the agenda for that meeting.• Committees might drop the ball, if the president does not reconfirm that the committee will be ready to report by the meeting hour.• Most of the grooming for future leadership positions occurs OUTSIDE of the meeting hour. And a host of other reasons are why people OUGHT to talk to people about the future.
