kikiv Posted July 23, 2010 at 02:49 PM Report Share Posted July 23, 2010 at 02:49 PM a draft of board minutes was distributed to board members to read before the next meeting. two months later the minutes were approved after editing so that the minutes no longer reflect what actually happened at the meeting. what to do? thanks! George Mervosh Posted July 23, 2010 at 03:13 PM Report Share Posted July 23, 2010 at 03:13 PM If there is a material error in approved minutes, they can be amended (RONR, p. 293ff).

kikiv Posted July 23, 2010 at 11:28 PM Author Report Share Posted July 23, 2010 at 11:28 PM there is indeed a material error in the minutes but board will not accept amendment--they are using might is right, even though the secretary was the only one taking notes at the meeting and she submitted the draft of the minutes 2 months before they were "corrected" (read changed significantly so that they now no longer truly reflect what actually happened) and approved. can anything be done in this case? The assembly must agree to the amendment.

And that could lead to an endless cycle of amending past minutes. Hopefully, your group is only putting what was done and not what was said into the minutes.
