Guest Nicole Posted July 23, 2010 at 05:04 PM Report Share Posted July 23, 2010 at 05:04 PM If a Board member is not present at a meeting, then attends the next scheduled meeting, is it appropriate for them to vote on approval of the meeting minutes for which they were not present? Or should the board member abstain from voting since they were not present at the prior meeting?
Rob Elsman Posted July 23, 2010 at 05:08 PM Report Share Posted July 23, 2010 at 05:08 PM The approval of the minutes is not put to a vote. After the minutes have been read and all proposed corrections have been handled, the chair announces that the minutes are approved as read, or as corrected, as the case may be. RONR (10th ed.), p. 343.
Trina Posted July 23, 2010 at 05:12 PM Report Share Posted July 23, 2010 at 05:12 PM All members have the rights of membership, which include offering corrections to the minutes, and participating in approval of the minutes. It doesn't matter if that member was absent at the previous meeting. Normally, though, a vote is not taken on accepting the minutes -- once corrections (if any) have been made, the minutes are approved by unanimous consent (RONR p. 343)
paulmcclintock Posted July 23, 2010 at 11:47 PM Report Share Posted July 23, 2010 at 11:47 PM Note also that minutes can be corrected years later by a group of members who where not even members at the time of the meeting, much less present.
