Guest Sandi Brusseau Posted July 29, 2010 at 06:50 PM Report Share Posted July 29, 2010 at 06:50 PM Social club Board of Directors.- By-laws state board consists of Pres., Vice Pres., Secty., Treas. OR Secty/Treas may be combined. Currently all four positions are filled. Vice Pres. is going to resign. Can the remaining board members switch positions in order to accomodate ? EXAMPLE: Secty. becomes Vice Pres. then Treasurer takes on combined position of Secty/Treas/. Is this allowed, or must it be voted on. If vote required, is it of general body ? jstackpo Posted July 29, 2010 at 06:59 PM Report Share Posted July 29, 2010 at 06:59 PM Your bylaws should say how board vacancies are filled. If the board can do it on its own, then you could shuffle people around in any way you like.
Rob Elsman Posted July 29, 2010 at 07:02 PM Report Share Posted July 29, 2010 at 07:02 PM Unless something else is prescribed in the bylaws, the vacancy caused by the resignation of the vice president is filled by an election in the same body that elected him originally. Previous notice of the election is required for validity. The regular nomination/election procedure is used. See RONR (10th ed.), pp. 116-118, 279, 416ff.
