Director Vote Question:

Director 1 (D1) gets 11 votes

Director 2 (D2) gets 11 votes

Director 3 (D3) gets 7 votes

Director 4 (D4) gets 2 votes

Director 5 (D5) gets 2 votes

total votes = 33

D1 & D2 go to a run-off. Before run-off ballot is approved, D2 pulls out of race. Would D1 win race or would you add D3 to run-off? or other?

There is no runoff. Since no one got a majority of the 33 votes cast (17 would be needed) to be elected you would need to vote again and again until someone does get a majority. Everyone (D1-D5) would stay in the race (RONR pp. 426-427).

This vote is by mail. What if you never get a majority? This is for Board of Directors and not officers if it matters. I don't think we can keep voting over and over.

Hopefully your bylaws allow for voting by mail otherwise you can't do it and any actions taken would be null and void (RONR p. 244d, p. 255, pp. 408-409).

Then you won't be electing new Board members.

I don't think we can keep voting over and over.

You will need to or you won't be getting new Board members.
