joneuman Posted August 18, 2010 at 02:41 PM Report Share Posted August 18, 2010 at 02:41 PM I understand that to hold board meetings via conference call, the bylaws must specifically allow it. Is it enough to simply say in the bylaws: "Meetings of the executive board may be conducted via video conference or conference call"? Thanks. George Mervosh Posted August 18, 2010 at 02:44 PM Report Share Posted August 18, 2010 at 02:44 PM RONR contains no suggested wording, but if what you wrote is in the bylaws, it's sufficient to satisfy the requirements in RONR.

Guest JDStackpole Posted August 18, 2010 at 02:50 PM Report Share Posted August 18, 2010 at 02:50 PM In my opinion, yes, that is sufficient authorization. However, it leaves open a whole lot of "rules" questions - such as what is a quorum for such a call, who decides to call such a meeting, how, &c.Perhaps someone else could point a link to the set I drew up some years ago - I'm away from my home computer... Thanks.Sufficient, but probably not adequate if you want to fairly conduct business that way.Take a look at:http://www.aipparl.org/pdf/AIPemeet5.PDF(Which may be what the cryptic 'Guest_jstackpo' was getting at )
joneuman Posted August 18, 2010 at 07:11 PM Author Report Share Posted August 18, 2010 at 07:11 PM Thanks. We are working on rules of order and standing rules to govern the particulars, but it takes longer to get amendments to bylaws done, so we wanted to get that part over with and just wanted to make sure what we were putting in would allow for that type of meeting.
