Conference Call Meeting

I understand that to hold board meetings via conference call, the bylaws must specifically allow it. Is it enough to simply say in the bylaws: "Meetings of the executive board may be conducted via video conference or conference call"? Thanks.

In my opinion, yes, that is sufficient authorization.

However, it leaves open a whole lot of "rules" questions - such as what is a quorum for such a call, who decides to call such a meeting, how, &c.

Perhaps someone else could point a link to the set I drew up some years ago - I'm away from my home computer...

Sufficient, but probably not adequate if you want to fairly conduct business that way.
