Adding a Board Position

We have a board member who would like to add a position to our current board. What is the proper way of going about this? They are currently proposing a by-law amendment, which has to be voted on by 2/3 of our membership. Is this sufficient for adding a position? Should the board not discuss/vote on it? Thank you, I have the RONR In Brief, but am still learning.

The bylaws would need to be amended to add another position to the Board. If the recommendation to amend the bylaws is coming from the Board then they would be discussing and voting on it. However, if the amendment is coming from a member of the General Membership (even if it is the Board member in question) then the Board wouldn't necessarily have any say in the situation (although the Board members speaking as General Members can speak in debate on it).

The board can discuss and vote all it wants but you'll still need to amend the bylaws to change the number of positions on the board (either up or down).

Wherever the definition of your board is, you must change the definition.

That implies that you must amend your bylaws, assuming your bylaws is where your board is defined.

Q. Is the bylaws the document which defines your board?

A. If yes, then "Yes, amend the bylaws."

If no, then you are spinning your wheels and wasting your time.

Q. Are you following the amendment process of your bylaws?

A. If no, then the answer is "No, you cannot pretend you are amending your bylaws by some imaginary made-up process." You must follow the process spelled out in your bylaws regarding the proper procedure of amendment. Whether the board is invovled, or not, will be clearly stated in your amendment process as layed out in your article on "Amendment" within your own bylaws.
