The is in our draft.

The “Membership Phase” will begin and end at the Annual Reunion. During this phase, the invited potential members will be evaluated. It is clubs purpose to make sure that the potential member WANTS to be a member of our organization, and that the organization WANTS the potential member as a member. At a specific time, as designated by the President, the officers and membership committee members present will hold one last vote on each potential member. During this vote, each potential member will need 80% positive vote to become an actual club Member. If, at this time, a potential member does NOT receive 80% positive vote, that potential member will change back to a potential member and will be eligible for the next year’s membership. For those potential members that do receive 80% positive vote, they will be notified as directed by the President.

This is in our By Laws

THE MEMBERSHIP PHASE: The “Membership Phase” will begin and end at the Annual PFUFA Reunion. During this phase, the invited potential veterans will be spoken to, observed, and evaluated. It is the purpose of this phase to make sure that the potential veteran WANTS to be a member of our organization, and that the organization WANTS the potential veteran to become a member.

The draft and the By Laws do not match, so which one should I go by. I am having a conflict between the BOD and the Membership Committee on the refusal to admit a new member based on these two paragraphs. The By Laws are the newest, the draft was written up in 2007.

Go by the Bylaws, of course. Unless, perhaps, you're suggesting that the draft was an adopted Bylaw amendment that was never entered into the copies of the Bylaws. You may need to research the minutes to determine if that is the case.
