conflict of interest

The President of the organizations wife has been dicplined by the Board of Diretors. She was a chair of a committee and the board appointed a new chair. Now the president claims he was deprived of the priviledge of being a part of the discussion regarding the appointment . It is our understanding because it involes his wife and the position she held it would be a conflict of interest.

Now the president claims he was deprived of the privilege of being a part of the discussion regarding the appointment.

It is our understanding because it involves his wife and the position she held it would be a conflict of interest.

Even if Issue X is a conflict of interest for a president, no member of a board or committee can be excluded from deliberations at any meeting of such a board/committee.

If you failed to give notice of a meeting to your president, and if the president is a member of the body which was the meeting, then a serious violation has occurred.

Your business which was transacted in that meeting is at risk to being declared null and void upon a Point of Order.

Well, was he? What did you do? Also, if he is a member of the board, it is a right, not a privilege.

It is our understanding because it involes his wife and the position she held it would be a conflict of interest.

I would consider such a matter to be a personal interest not in common with other members, however, the president may not be deprived of any of the rights of membership because of that. All RONR recommends is that he should refrain from voting, and he cannot be compelled to even do that. (RONR, 10th ed., pg. 255, lines 22-28; pg. 394, lines 15-25; FAQ #9)
