It has been a practice of the board, under the "unanimous consent" rule to permit the membership of the nonprofit corporation to speak to the "pending question". On occasion, such non-board member has started to stray from the pending question or makes remarks not germane to the pending question. Sometimes the remarks are such that they tend to be inconsistent with the decorum of the board. What is the most appropriate rule for the chair to immediately terminate inappropriate remarks? He calls the {non} member to order, either by reminding him his remarks must be germane to the pending question, or that his marks do not conform to proper decorum.
