Guest John Alcorn Posted September 16, 2010 at 05:46 PM Report Share Posted September 16, 2010 at 05:46 PM Our board consists of 9 members. One resignes and a vote of the mjority of remaing members (5 out of 8)is required. If no candidate receives 5 votes, how should we proceed? Could we adopt a rule that would drop the candidate with the fewest votes or if there are two of them, have a election to see which survives for another vote on the vacancy? Any suggestions? jstackpo Posted September 16, 2010 at 05:52 PM Report Share Posted September 16, 2010 at 05:52 PM Keep on voting. Don't drop the low man -- a rule to do that must be in your bylaws. Are you sure the vote threshold is a majority of the members? The RONR default is a majority of those voting. Guest John alcorn Posted September 16, 2010 at 05:56 PM Report Share Posted September 16, 2010 at 05:56 PM The statute under which we operate mandates a majority of the remaining members, but thanks for the input.
