Resignation of President

Looking for clarification, since our Club's Constitution and By-Laws lack clarity on this topic. Our President has resigned. Her term is not up until December 2011. Our By-laws say "a vacancy in the office of President shall be filled automatically by the Vice-President. And the Board shall fill the resulting vacany in the office of Vice-President." Our fiscal year is January to December.

First question is - Does the VP step up into the President's position until the end of this "year" or the end of the "term" (since the president's term is not up until the end of next year)? And what happens if the VP does not want to fulfill the entire term?

To make it messier, the V-P's term is up this December (2010). If she does not want to fulfill the entire term, should the nominating committee recommend a new President and a new V-President ... starting when? I'm guessing at our regular election time - right?

End of the term (if you did it otherwise the whole schedule of electing the President would be knocked out of whack).

And what happens if the VP does not want to fulfill the entire term?

With all due respect to the VP she shouldn't take the position unless she is willing to perform her duties fully (meaning until the end of the term). If she doesn't feel she can do so she should resign.

She should resign as President and the VP (who you all should have already elected to fill the vacancy when she became President) would become President and the vacancy in the office of VP would be filled.
