Guest CT-PA Posted September 28, 2010 at 02:43 AM Report Share Posted September 28, 2010 at 02:43 AM The President of the youth organization continues to make decisions he does not have authority to make. Our by-laws are specific and indicate that the board makes the decisions. We need to address these issues as quickly as possible. Should a "special meeting" be called or should these issues be brought up at our next board meeting which is in a week?

Trina Posted September 28, 2010 at 02:04 PM Report Share Posted September 28, 2010 at 02:04 PM The President of the youth organization continues to make decisions he does not have authority to make. Our by-laws are specific and indicate that the board makes the decisions. We need to address these issues as quickly as possible. Should a "special meeting" be called or should these issues be brought up at our next board meeting which is in a week? That depends on the circumstances. If your bylaws outline a process for calling special meetings, you may find that you can't call a special meeting sooner than the already scheduled regular meeting anyway (there should be some reasonable notice requirement, which constrains the timing of a special meeting). Also, with a regular meeting you have the (possible) advantage that you don't have to announce ahead of time to everyone (including the President), that you intend to take action on this matter. The call to a special meeting must include a description of the purpose of the meeting. At a regular meeting, new business can simply be brought up without prior notice.Part of the decision depends on what you hope to do to rein in the President (and whether the board has the authority to take the hoped-for action). If the general membership (rather than the board) needs to take action, perhaps a special meeting of the general membership might be needed.
