We are a youth sports and cheerleading program - Our current by-laws state the following:

"A President, Vice President, Girls Athletic Director, Boys Athletic Director, Recording Secretary, Corresponding Secretary, Treasurer and Scholastic Director shall constitute the official personnel of the Executive Board of the -----."

"The President shall preside at the meetings of the ------ and of the Executive Board. The President shall be the administrative officer of the ------ and appoint, subject to confirmation by the Executive Board, all standing committees as may be directed. The President shall be Ex-officio, a member of all committees.

This is what the by-laws state regarding conducting business:

At least three members including the President and/or Vice-President of the Executive Baord shall be required to constitute a quorum for the transaction of business. All Board members shall have one vote. The President shall only vote in the event a question before the Executive Board results in a tie vote.

Based on the above descriptions of the Executive Board and President, what authority, if any, is granted to the Executive Board and President to make decisions on behalf of the Organization?

The authority to confirm the president's appointment of standing committees.

and President to make decisions on behalf of the Organization?

The authority to preside at meetings and to appoint standing committees, subject to confirmation of the executive board.

In other words, next to nothing. It should be noted that bylaws can only be interpreted through a careful inspection of the entire document, which is beyond the scope of this forum.

Answer:

"The President shall ... appoint, subject to confirmation by the Executive Board, all standing committees as may be directed." (See S3.)

I see no other authorization.
