Co-Directors

We have 2 people who are Co- Directors on the Board. Do they both have a vote each or does their vote count as one?

RONR strongly advises against having co-anything. Are you sure you have co-directors or, at some point, did you simply (and improperly) elect two people to one position. Check your bylaws.

In the unlikely (or at least unfortunate) event that you really do have co-directors, you'll have to figure out how, like Solomon, to divide the baby.

In a recent meeting we had a discussion about having quorum present in order vote on certain issues. We have 2 people who are Co- Directors on the Board. Do they both have a vote each or does their vote count as one?

If your bylaws specifically allow co-directors, then each of those people would have a vote (unless your bylaws say something else about how co-directors' votes are to be counted), and each of them would count toward quorum (unless your bylaws say different).

I'll echo Mr. Mountcastle's advice to check if the bylaws do, in fact, allow co-directors.
