Noting Proxy in Minutes

Guest Carol

Recommended Posts

In our Committee minutes, Members Present and Members Absent are noted at the beginning. If a member appoints a proxy and a signed form is submitted, should they be listed in the Members Present category because by proxy they actually are present? Or should it be a new category Member Present by Proxy?

Thank you,

Maybe neither. The fact that your organization may permit proxy voting doesn't necessarily mean that the proxy holder is counted as a present member (e.g. for the quorum requirement).
