change vote

During a BOD meeting a motion was made, seconded, and passed. Two members were so angry with the outcome of vote two left the meeting and threatened to resign from the board. Now they want to reword the passed motion. Can this be done?

As long as the action authorized by the motion has not been completed, a motion to amend something previously adopted (ASPA) can be made. It requires the vote of a majority of the entire board, a two-thirds vote, or, with notice, a majority vote.

In some cases, yes.

In some cases, no.

See the motion, AMEND SOMETHING PREVIOUSLY ADOPTED.

If the adopted motion has an ongoing element to it, or has an unexecuted element in it, then it may be possible to add or subtract words to that motion.

If the adopted motion is 100% executed/complete, then no amendments will be possible, so no amendment will be in order.
