tomt Posted November 20, 2010 at 06:01 AM Report Share Posted November 20, 2010 at 06:01 AM Our By-Laws require that the Board of Directors meet and vote to institute expulsion of a member. The subject of the expulsion is the present President who will remain a member of the Board of Directors after his term expires. Is it necessary for the Board of Directors to include the subject member in the meetings to institute his expulsion? Thanks, Tom

Weldon Merritt Posted November 20, 2010 at 11:32 PM Report Share Posted November 20, 2010 at 11:32 PM Yes, unless your bylaws provide otherwise.I think it would be more accurate to say that the board must notify the member of the meeting and provide an opportunity for him to present a defense. But if the member chooses not to attend, I do not believe that ties the board's hands. So long as the membert is provided the opportunity to be present, the board may proeceed even if he does not show up.
