Guest Janet Boyd Posted November 30, 2010 at 12:27 AM Report Share Posted November 30, 2010 at 12:27 AM Our bylaws require elections to be held at our annual meeting. A slate from the nominating committee is presented to the membership via email prior to that meeting. If the slate is unopposed at that meeting they are elected. If there is no quorum at the meeting, what happens to our elections?

Ann Rempel Posted November 30, 2010 at 07:27 AM Report Share Posted November 30, 2010 at 07:27 AM So would the existing officers continue until elections could take place? They would continue to serve if your bylaws state that officer serve until their successors are elected. Gary c Tesser Posted November 30, 2010 at 07:29 AM Report Share Posted November 30, 2010 at 07:29 AM That depends on what the bylaws say the term of office is. If the bylaws define a flat term -- two years, say -- then when that term is up, those officers are out. You won't have officers until you validly elect new ones. But if the bylaws (prudently) say that the terms are some period of time, "or until their successors are elected," then those officers stay in office. (The word "or" can be replaced by "and." This will make a difference pretty much only when the organization wants to toss an officer out. See p. 642 - 643 or so)
