Executive Session

I am not one of the directors, but a coordinator of a non-profit development corporation. The board had a meeting to do my evaluation. The board president would like to know if he needs to record that session anywhere other than the evaluation produced because of the meeting. Then, when he shares with the board that he reviewed the document with me, do they need to go into Executive Session?

In general:

No, anything which is NOT a motion won't appear in one's minutes.

A consultation between a president and another party might well appear in the REPORT from the president, but not appear in the minutes, even as the minutes will have an entry, like, "... the present presented his report ...", without the minutes mentioning detail.

Executive session may be invoked. Or not. It is an option.

I lean toward, yes, do invoke excutive session, because people think that evaluations are sensitive and personal. So if the board thinks evaluations are personal and sensitive, then the board should invoke executive session. But no rule in Robert's Rules compels executive session.

I agree with Mr. Goldsworthy as far as the rules of RONR are concerned, however, I would add that since this is a non-profit corporation and the issue involves the evaluation of employees, there are likely legal issues involved here.
