Guest Liz Posted December 21, 2010 at 01:02 PM Report Share Posted December 21, 2010 at 01:02 PM We have a new board for our PTO. I beleieve the members of the PTO have the final say over the board but our excutive board emails things to our other board memebers and committee chairs to be voted on . We follow Roberts' Rules and we have no Bi- Laws about this.Is this allowed ? And do they members have the final say over the board?
jstackpo Posted December 21, 2010 at 01:05 PM Report Share Posted December 21, 2010 at 01:05 PM You are correct. See FAQs #12 & 13 elsewhere in this site.(I'll ket the pros supply the actual links.)Also there cannot be e-mail voting to reach decisions without bylaw authorization. hmtcastle Posted December 21, 2010 at 01:08 PM Report Share Posted December 21, 2010 at 01:08 PM Is this allowed ? And do the members have the final say over the board?Absentee voting (e.g. by e-mail) is prohibited by RONR unless specifically authorized by your bylaws (or mandated by some superior rule or law).Yes, the general membership is (almost always) superior to the board. See Official Interpretations 2006-12 and 2006-13.
E A Lemoine Posted December 21, 2010 at 09:30 PM Report Share Posted December 21, 2010 at 09:30 PM we have no Bi- Laws about this.Is this allowed ?Then how do you have officers and committees of an organization that doesn't even exist on paper? There surely must be bylaws somewhere.
