Guest James A Posted January 1, 2011 at 02:46 AM Report Share Posted January 1, 2011 at 02:46 AM According to by-laws, a meeting of officers must occur on the first Friday of the first scheduled meeting of the New Year. The item is listed on the agenda. When the item comes up under new business, members leave forcing the board to adjourn due to lack of quorum. Must the current officers take up the vote at either a subsequent scheduled meeting or at a re-scheduled meeting? Or, stated another way, do the by-laws stating when an election must occur, imply that an election cannot be held on another date?

The agenda item is a vote for officers that is the by by-laws held at a yearly scheduled meeting. When the vote for officers comes up, half the membership leaves, causing the Chair to adjourn the meeting. Is the chair obligated to reschedule the vote? But since that wasn't done, you'll need to do it at the next regular meeting.

A follow-up: by "do it at the next regular meeting" I take it you mean the vote--not setting an adjourned meeting date.

What is this, an organization of fourth-graders?
