Situation is The original President resigned, the Vice President wants to take over as president, he is a board member represents a section in our park, he was told that in order to take over for president he has to resign as the board member and vice president, so he did that. The board in their wisdom (not) made him president, is that legal? (hoope you understand my explanation.
jstackpo Posted January 4, 2011 at 01:08 AM Report Share Posted January 4, 2011 at 01:08 AM Yeah, I follow you (to some extent) but what matters is what your bylaws have to say, if anything, about how a presidential vacancy is filled. If they are like many or most, your vice-president BECAME president, filling the vacancy (and ceased to be VP) as soon as the original (or "erstwhile" - a nice useful word) president quit, automatically. Whether a board resignation is necessary is up to your bylaws, too, not what "someone told him".

(hoope you understand my explanation. If you follow Robert's Rules, then the Vice President became president the moment you accepted the resignation of the original president. So, I don't see what all the resigning and electing and telling strange made-up rules was all about. Do your bylaws actually have any such rules in them?
