Right of board member to dissent publicly with a decision

Is a board member allowed to publicly dissent with a decision? Are members just restricted from publicly discussing what transpired at said meeting?

A1. Yes. For example, if you are a board member and the board makes a recommendation to the membership with which you disagree, you may speak against the recommendation.

A2. No. If the board meeting was held in executive session, you may not reveal what transpired. You will be subject to discipline up to and including being ejected from the society for violating the secrecy of an executive session. However, if the meeting was not held in executive session (even if only board members were present) then no such requirement of secrecy exists and you may discuss what transpired.

It kind of depends on what you mean by "publicly" and what form the dissension takes. A member is generally free to let other members know that he does not agree with the board's decision.

A member should probably not set up a soapbox in Hyde Park and rail against the idiots on the board.
