The CEO calls on each Ex-Bd member, explaining the issue, and states that the other Ex Bd members have already agreed, which of course the Ex Bd member has no first hand knowledge of the conversation, and asks for his/her vote. Unless the bylaws allow it, conference calling is prohibited. And even if they did allow it, what you have here is not a conference call. The requirement is that everyone must be able to hear each other at the same time.What you're doing allows for no debate at all.
