WHAT CONSTITITES A QUORUM

PER OUR BY-LAWS -AT THE ANNUAL MEMBERS MEETING, A QUORUM OF 25% OF MEMBERS NEED TO BE PRESENT TO OPEN THE MEETING.DURING THIS MEETING, NEW BOARD MEMBERS ARE SEATED AFTER A VOTE COUNT,DURING THE MEETING. DOES THE QUORUM AMOUNT INCLUDE THE MEMBERS PRESENT,AS WELL AS THE NUMBER OF VOTES BEING COUNTED, OR ONLY MEMBERS PRESENT?

The quorum is the minimum number of voting members required to be present at a meeting to transact business. It has nothing to do with the number of votes being counted. If you have enough voting members present, you have a quorum, whether they vote or note. And it's not just when the meeting is called to order, but is continuing through to adjournment. If enough members leave, or the number of members present changes in such a manner that you fall below your 25% of membership present, you have lost your quorum. See RONR (10th Ed.) pages 336-337 to see what you can do in the absence of a quorum.

You might want to amend that rule. Per RONR, a meeting can (and should) be called to order even if it appears that a quorum is not present. There's very little you can do without a quorum but the meeting should be held, as required, then adjourned, perhaps to a more convenient date.

You might also want to stop typing in ALL CAPS. It's difficult to read and, online, is considered to be shouting.

Based on that paraphrase, I couldn't begin to guess. I doubt the bylaws say precisely that.

In general:

  • A quorum in NOT required to call the meeting to order, to recess, to adjourn--only to conduct business at it.
  • A quorum means the number of members who must be present. It has nothing to do with how many voted.

If your rules actually redefine those meanings, good luck to you.
