Guest Maggie Posted January 28, 2011 at 06:22 PM Report Share Posted January 28, 2011 at 06:22 PM May a member at the board of directors' meeting request the reading of the minutes at the board meeting? The board declines to do so saying it would take too long. The minutes are not unusually long. Instead of reading the minutes, could the board make available draft copies to members coming to the board of directors' meeting or the minutes emailed before the meeting to the members desiring a reading. Or, would this require the 2/3 vote of the members of our community?
Tim Wynn Posted January 28, 2011 at 06:36 PM Report Share Posted January 28, 2011 at 06:36 PM May a member at the board of directors' meeting request the reading of the minutes at the board meeting? Are you referring to a member of the board or a general member who is not a member of the board? According to Robert's Rules, only board members have rights at a board meeting. The minutes should be approved at the beginning of each meeting, and when they are to be approved, they must be read upon the demand of a single board member. The board declines to do so saying it would take too long. The board is free to decline the request of a nonmember of the board, but a board member has a right to have them read before members are asked to approve them. See RONR(10th ed.), p. 287, l. 10-14.The minutes are not unusually long. Instead of reading the minutes, could the board make available draft copies to members coming to the board of directors' meeting or the minutes emailed before the meeting to the members desiring a reading. Or, would this require the 2/3 vote of the members of our community?See RONR(10th ed.), p. 457, l. 9-19, for the details of just such a procedure, in which a copy must be sent to all board members in advance. Josh Martin Posted January 28, 2011 at 06:57 PM Report Share Posted January 28, 2011 at 06:57 PM See RONR(10th ed.), p. 457, l. 9-19, for the details of just such a procedure, in which a copy must be sent to all board members in advance. We should be clear, however, that even if the minutes are distributed in advance, a single member may still demand for the minutes to be read.
