Our Not for profit organization has 16 Board of Trustees and guidelines are clearly written how a meeting of Board of Trustees can be called.    Our constitution also has a Council of Past Presidents (CPP) where everyone who served as President automatically becomes member.  Currently we have 22 Past Presidents are the member of the committee. The council elects one member as the chairman of the committee for 2 years. 

    Issue:   The chair has not called for the committee meeting in entire 2022 where as the constitution states that the Council shall meet quarterly. Chair is required to present a report to General Body which he failed to do.  Chair is the only appointed officer of the council.   The members of the council intend to remove the chair before his second year term starts. 

    How the members can call for a meeting and how many votes will be needed to remove the chair.   (note our Constitution & Bylaws regarding CPP does not address this)

  2. Ours is Non for profit organizations with 16 Board members.  One of them chairs the meeting.  The chair proposed a written motion to appoint an Ad-Hoc committee including the scope of work, chairperson of the committee and the members of the committee.   The motion was duly seconded.    After long discussion the chair moved a new motion to appoint 2 people as Co-chairs for the committee. 

    Question: a.  Can second motion be moved (not as amendment) while original motion is still on the floor.  

                     b.  does Passing of second motion automatically removes the original motion from the floor. 

                     c.  If second motion is taken as amendment to the first motion. Does the content of original remains the same except for proposed amendment. Second motion only indicated the appointment  of 2 co-chairs only. 

  3. in 2015 Board of Trustees passed a motion to restrict the use of the Prayer Hall for Private event.   This practice has been followed for many years. 

    In 2022 the new Board of Trustees approved a motion that the "Prayer Hall can be allowed to be used for the Private events" without knowing the there was a previously motion putting the restriction for the use for Private event.

    Question:  Does this newly adopted motion removes the restrictions imposed by the original motion passed in 2015.  

  4. Our organization has 16 trustees,.  Four trustees are elected each year to serve a 4 year term.  The constitution does not put any limit on the term of trustees. 

    Each year the 16 member  elects the 6 members of executive committee to run the day to day operation for the Calendar year.  Our constitution clearly states that no trustee can serve in the same executive position for more than 2 year consecutively. Few members of the board are in executive committee for many year, serving in different position complying with the constitution for not serving in the same position for more than 2 years.

    Board now wants to make it more equitable for other members to serve in the executive committee.  Proposal is to limit the term of a board members to serve as member of the executive committee. Does the board have authority make this change without the approval from general body.

     

     

  5. President of our organization sent a notice for a special Board meeting to approve the Committee Chair who will work with him for the Calendar year..   Usually in this process, the President will present the list of committee chairs to the Trustees and the trustees approve or reject with a simple majority..  .

    During this meeting, one trustee presented a written and duly seconded motion to prohibiting the spouses of the executive committee members to chair any committee. (This was not pre-circulated). Motions passed with 6 in favour, 4 against and 2 abstain and 4 absent.

    Does this motion require 2/3rd Vote as it was not part of the agenda and it was not pre-circulated.   Does it also violate any members right as our constitution states that "Any Chairperson of the committee shall be the member of the organization in good standing.
