Executive Session Minutes

Two fold question regarding executive session minutes.

 

Does the secretary have to keep official minutes of an executive session or just take notes to be kept by the secretary ?

 

Do the minures of a previous executive session need to be read and approved at the next executive session or does a board need to go into executive session for the expressed purpose of approving the minutes ?  As I read Roberts it seems that if an executive session is held and no minutes are read or  requested the minutes of the previous session are deemed to be approved.

The former. Minutes need to be kept of all meetings, including meetings held in executive session.

Either is acceptable. The board could enter executive session just to approve the minutes or it could approve them the next time it enters executive session. Which is more practical depends on how frequently the board enters executive session.

 

As I read Roberts it seems that if an executive session is held and no minutes are read or  requested the minutes of the previous session are deemed to be approved.

 

If an executive session is held solely to approve minutes, the (very brief) minutes of that meeting are assumed to be approved. "When the minutes of an executive session must be considered for approval at an executive session held solely for that purpose, the minutes of the latter meeting are, or are assumed to be, approved by that meeting." (RONR, 11th ed., pg. 96, lines 14-17)
