If bylaws do not specify.....

1) One director resigned before end of his term. What is the time table for notice to members of an election to replace that director.

2) Another director position expired unnoticed 8 months ago. (bylaws say director serves until end of term, period) What is process for filling that spot? How much notice to members is required

RONR does not specify a timeline for when the election is to be held, but it should be done as soon as possible. As for notice of the election, notice may be given orally at the previous regular meeting or included in the call of the meeting.

Same as above, except I would emphasize the “as soon as possible” more strongly, since it’s already been eight months.
