Anastasia Posted February 14, 2024 at 10:19 PM Report Share Posted February 14, 2024 at 10:19 PM Our 501c3 organization consists of 7 officers and 14 board members. Our quorum has always been 11. We now have a few vacancies on our board and have a chairman that is determined to push controversial project through. He is trying to change our quorum due to the vacancies so he can get a vote through. Can a quorum be changed due to Board vacancies?

What exactly do your bylaws say, if anything, regarding the quorum for the board?

Thank you. Assuming it is the same question as discussed in that thread (which appears to be the case), I agree with the responses in that thread.
