Setting Annual Meeting Date

Our organization's bylaws state that the annual meeting of members must be held anytime between Oct. 1 and Nov. 30. The meeting was scheduled for Nov. 14 by the board of directors, but no notice has been sent out yet. A conflict for the location has come up and now the meeting cannot be held in Nov. What, if anything, can we do to be able to hold the meeting on the first available date in December for the location? There's still time (based on the bylaws) to give notice if the meeting is held in either mid to late Nov. or early Dec. Thanks for your help on this!

One idea comes to mind - hold the meeting on the 14th, and immediately adopt a motion to Fix the Time to Which to Adjourn, creating an adjourned meeting ( a continuation of the same session), and choose a date in December that all/most can attend. Then adjourn, and meet back in December. You'll want to review Section 22 in RONR (10th Ed.) for details. And stay tuned for more ideas.

There's still time (based on the bylaws) to give notice if the meeting is held in either mid to late Nov. or early Dec.

Well, you cannot go for a full year without meeting at all. - That is not a reasonable option.

So, with plenty of notice (this time around), just meet when you can. - That is, obey your bylaw deadline as close as you can.

The alternative is no meeting for 12 months. That's no way to run an organization.

Hold the meeting, even if only one person shows up. See RONR(10 th ed.), p. 336, l. 27-32
