Guest Dave 59 Posted June 8, 2010 at 04:10 PM Report Share Posted June 8, 2010 at 04:10 PM What is the procedure for replacing a motion put before a board by a board member and at the meeting of the board member replaces the motion with a new motion that serves the same purpose but has been rewritten by a legal department?Does the newly written motion have to be presented as an amendment or as an entirely new motion? What is the procedure in deleting with the old motion and replacing it with the newly worded one?
Chris Harrison Posted June 8, 2010 at 04:19 PM Report Share Posted June 8, 2010 at 04:19 PM The new language can be offered as a substitute to the previous language. See RONR pp. 149-154.

Was anything adopted? Two cases:• If nothing has been adopted yet, and the question is immediately pending, then the new language can be moved as an amendment.• If your board adopted some motion X, and you have new language for X from your legal team, and plan to replace the old language with the new language, then you will be using the motion "Amend Something Previously Adopted." The motion will be a main motion, which might worded like so: "To strike out [whatever wording] and insert the new language as read"; (assuming that the maker of the motion reads aloud the language in full).
