  2. You are right, it did answer the withdrawal part of the question....but not the part about the minutes vs. the vote. Thanks for all of your help.

  4. A verbal resignation was given during a board meeting to be effectively immediately; however, there was no motion or vote to accept/reject the resignation. The meeting minutes state that the resignation was given effective immediately. Since the meeting minutes captured the verbal resignation does that constitute automatic acceptance by the board or does the board still have to vote on the resignation? At the meeting, the board member was asked to send the resignation in writing; however, the request for a written resignation was not captured in the meeting minutes. The board member changed their mind after the meeting and sent an email to the board of directors stating that they would not be submitting a resignation and that they intended to stay on the board in their current position. Can the remaining board members prevent the withdrawal of the director's resignation?
