  1. I totally understand that Robert's Rules differs from legal advice and certainly did not expect any legal advice. We just wanted to know if there was anything in Robert's that would be applicable. I had already searched the 12th edition and could not find anything, so I thought I would ask the expierts. Thank you all for your responses.

The Bylaws state: "Government and policy-making responsibilities of the Association shall be vested in the Board, which shall control its property, responsible for its finances and direct its affairs." The board is looking for a citation of some type that would have authorized this action without the rest of the boards knowledge of the action or what was contained in the settlement. If you are referring to government statutes, there are none.
  3. Thank you for your response. The Director (Managing Director) and all of the other members of the Board of Directors are duly elected and unpaid. There are no 'staff' members. It strictly a volunteer organization. As noted, the Bylaws are silent on this or any similar issue. So Robert's Rules would be the authority.
  4. A member was threatening the association with a lawsuit. The current director and the immediate past director entered into a settlement agreement with the member. Neither the board or general membership were made aware of the settlement or the contents of the settlement. Nothing like this is mentioned anywhere in the bylaws. Robert's Rules of Order is the authority for the association. Should this agreement have been allowed without the knowledge of the board? If not, what would the remedy be?
