Our organization has 5 voting members at their board meetings. And when a vote is taken, we need a quorum, which would be at least 3 of the voting members. Ok, one of our voting members has just recently passed away. We have to take a vote to fill his position until the end of his term. My question: do we still need a quorum of 3 or since the passing of our 5th voting member does our quorum now become 2 because?
