  1. Here is the scenario - a person is a current BOD member at large. This person chose not to run for that position again but chose to run for an Officer position and was elected. BOD at large position to end 6/30, Officer term to begin on 7/1. In March this person resigned, resignation was voted on and accepted by the BOD. NOW, the person is saying that they only resigned from the BOD at large position and not the Officer position. Here is the resignation notice (and, this person then went on to a public FB forum and noted that she could not work with the BOD, that they had no ethics, no respect, were not following the constitution etc. etc., a general nasty, childish rant) So, she has stated in her resignation and publicly that she has no trust in and no desire to work with the BOD. Question - IS her resignation inclusive? DO we need to get another resignation from her? Resignation letter- Effectively immediately, I resign from the XXX board. There is absolutely no respect, trust, or unity within this board. I also can no longer be part of a board that doesn’t hold true to morals, ethics, and values. I came onto this board to hopefully make a difference and before I get drawn down into all of the politics, I feel it in my best interest to resign. I will continue to be a XXX member and hold true to the constitution. I will still continue to be the Chair of the 2021 National. I will still continue to work on updating the National Specialty guidelines.
  2. The person originally accept the position and changed their mind. The Election was held via mail-in ballot, the results tallied and announced- this occurred in March, the term for which the person was elected was to commence July 1st. The person notified the current BOD that they were no longer willing to take the position in April. It does make sense, and what I was interpreting, that when the officer does NOT take their position July 1st, then there is a vacancy - and at that time, per our constitution, the existing BOD may appoint a replacement.   4. We held an election for a 2nd Vice President. The person who won the election resigned BEFORE that term was to begin, so never took that seat. SO - does the person who got the 2nd most votes then become the winner of the election? Is the position considered Vacated and the existing BOD can then select a replacement? Our constitution does address if a BOD member resigns mid-term, but does not address what happens in this situation where the term had not yet begun.
